Buy, Hold or Sell: What Happens After Dangote Refinery Shares are Listed?

Submitting your application and payment for the Dangote Petroleum Refinery and Petrochemicals FZE IPO is only the first step. What follows — allotment, listing, and eventually the decision to buy more, hold, or sell — is where most investors have the least visibility. Here’s what actually happens next.

The Key Offer Terms, Recapped

Dangote’s prospectus, released around the September 7, 2026 signing ceremony in Lagos, confirms the following: 4.1 billion ordinary shares are on offer at ₦525 each, with a minimum subscription of 10 shares (₦5,250). A full subscription would raise roughly ₦2.15 trillion (~$1.6 billion). The offer runs from September 14 to October 13, 2026, with the possibility of an earlier close in case of oversubscription.

So, once you’ve applied — what happens next?

1. Your Subscription Is Submitted

Once you submit your application and funding, it enters the issuer’s processing queue. If you’re applying through Daba, your subscription is submitted directly from your funded Daba account, subject to Daba’s standard onboarding and compliance checks — you’ll be able to track its status (submitted, processing, allotted) from inside the app rather than chasing paperwork externally.

2. The Offer Closes and Applications Are Processed

After October 13, applications are processed against the terms set out in the prospectus. This is the stage where you find out how many shares you’ve actually been allotted. Under standard SEC rules for Nigerian IPOs, applying for a given number of shares is a request, not a guarantee — allotment is a separate step that comes after the offer closes.

3. What if the Offer Is Oversubscribed?

If demand exceeds the 4.1 billion shares on offer, allocation follows the terms set out in the offer documents. The issuer is permitted to take up to 30% more than the original offer size in the event of strong demand, subject to SEC approval, and the final allocation formula is decided jointly by the issuer and its issuing houses. Given that Dangote’s earlier private placements were heavily oversubscribed, it’s worth checking the final allotment terms in the prospectus rather than assuming you’ll receive your full requested amount.

4. The Shares Are Eventually Listed for Trading

Once the offer and allotment processes are complete, the shares are expected to list on the Nigerian Exchange (NGX) Main Board. Reuters has reported an indicative timetable pointing to trading beginning sometime between early and late November 2026, depending on how quickly the remaining regulatory and allotment steps are completed — a timeline also referenced by company executives, including CEO David Bird, in comments to Bloomberg. Once trading opens, the market — not the offer price — sets the value of your shares, and that’s the point at which the buy-hold-sell decision actually becomes relevant.

5. ₦525 Is Not a Guaranteed Future Price

Buying in at ₦525 during the IPO doesn’t lock in that value once the stock lists. Like any listed equity, the price will move with supply and demand, the company’s operating performance, refining margins, investor sentiment, and broader macroeconomic conditions. Depending on where the market price settles relative to ₦525 — and after accounting for any costs and taxes — your position could show a gain or a loss.

6. You Can Hold the Shares

There’s no requirement to sell as soon as trading opens. Company statements in the prospectus and at the signing ceremony point to plans to raise refining capacity to 1.4 million barrels per day, up from roughly 650,000–700,000 barrels per day currently — with IPO proceeds expected to help fund that expansion. Investors who believe in that growth trajectory may choose to hold through it.

7. You May Receive Dividends — If Declared

Dividends aren’t automatic; they depend on the company’s results, available profits, capital requirements, and board decisions. Aliko Dangote has been reported, since late 2025, as signalling that the company is considering dollar-denominated dividends backed by projected export earnings — though this remains subject to regulatory approval and will ultimately depend on the offer documents and future company announcements.

8. Keep Monitoring the Company

Once you’re a shareholder, it’s worth tracking the refinery’s financial results, production levels, crude supply, refining margins, exports, and expansion progress. A Renaissance Capital Africa report — cited by Moneycentral and referenced in Reuters and MarketScreener coverage of the prospectus — put the refinery’s H1 2026 EBITDA at roughly $2.60 billion and net income at $1.82 billion, pointing to a strong operating turnaround alongside the ongoing expansion.

What Investors Should Remember

Buying shares through an IPO is a different process from buying an already-listed stock: subscription, processing, allotment, listing, then trading. Applying doesn’t guarantee your full requested allocation, and the ₦525 offer price doesn’t guarantee future returns — once trading starts, the market decides. The prospectus remains the authoritative document for allotment rules, the timetable, and risk factors, and any decisions should be checked against the official SEC-approved documents and approved subscription channels.
