Stage 1: Pre-Filing — Private Fundraising and Preparation
Before a company ever files with a regulator, there’s typically a pre-filing period of private fundraising and internal preparation. For Dangote’s refinery, this included a $2.5 billion private placement in July 2026 (led by Africa Finance Corporation) and a $1 billion underwriting programme disclosed in August 2026 (structured by Marob Strategies and Lilium Capital Group). This stage helps a company build institutional support, establish early valuation reference points, and line up financial advisers before going to the regulator.
Stage 2: Filing and Regulatory Review
The company formally submits its application to the regulator — for Dangote, this was filed with Nigeria’s SEC in mid-2026. This is where Dangote currently sits, with Reuters reporting in August 2026 that SEC approval was expected “in the coming weeks.” During this stage, the regulator reviews the company’s financials, structure, and disclosures, and may request changes before approving.
Stage 3: Prospectus Publication
Once approved, the company publishes an official prospectus — the document containing audited financials, the confirmed offer price, share count, and risk disclosures. For Dangote, this is expected around September 2026. This is the single most important milestone for investors, since it’s the first point at which real, confirmed numbers replace media estimates.
Stage 4: Marketing and Possible Book Building
Large IPOs often include a marketing period where the company and advisers gauge institutional investor demand, sometimes through formal book building, to help finalize pricing within an announced range.
Stage 5: Subscription Window
The offer formally opens for public applications through licensed stockbrokers, typically for a defined period. This has not yet happened for Dangote — no subscription window is open as of this writing, despite the amount of pre-marketing and private fundraising activity already completed.
Stage 6: Allotment and Listing
Once subscription closes, shares are allotted to successful applicants and credited to their CSCS accounts, and the stock begins trading — targeted for around October 2026 for Dangote. Understanding exactly where a deal sits in this sequence is the best defense against being misled by pre-filing hype into thinking an offer is further along, or more available to you, than it actually is.
It is worth noting that not every IPO moves through all six stages on a fixed public calendar — companies sometimes compress or reorder steps depending on market conditions, and regulators can extend review periods without much public explanation. Reuters’ August 2026 reporting on Dangote’s approval timeline being “in the coming weeks” is itself a source-based estimate rather than an SEC-published deadline, so it is worth treating even this staged breakdown as the best current understanding rather than a guaranteed schedule.
For a company of Dangote’s public profile, expect each of these stages to generate its own wave of media coverage — which is useful for staying informed, but worth reading critically, since headline-grabbing coverage of an earlier stage (like a private placement) is sometimes conflated in casual reporting with the later, more consequential stage of an approved public offer.
