Dangote Petroleum Refinery filed its IPO application with Nigeria’s SEC in late July/early August 2026. If you’re wondering what happens between now and an actual stock market debut, here’s the general sequence NGX IPOs typically follow, along with where Dangote appears to sit in it as of this writing.

Stage 1 — Filing and regulatory review: The company submits its application and supporting documents to the SEC, which reviews the business, financials, and proposed structure. This is where Dangote currently is: filed, under review, with SEC Director-General Emomotimi Agama saying the regulator doesn’t currently anticipate delays.

Stage 2 — SEC approval and prospectus publication: Once satisfied, the SEC approves the offer, and the company publishes a formal prospectus containing audited financials, risk factors, pricing, and the offer timetable. This has not yet happened for Dangote.

Stage 3 — Marketing and book building: The company and its advisers often gauge institutional investor demand and finalize pricing within an announced range, while retail investors are informed of the offer through licensed stockbrokers and public channels.

Stage 4 — Subscription window: The offer formally opens, typically split between institutional and retail tranches, for a defined period during which investors submit applications and payment through licensed stockbrokers.

Stage 5 — Closing, allotment, and listing: The subscription period closes, shares are allotted to successful applicants (sometimes on a pro-rata basis if the offer is oversubscribed), shares are credited to investors’ CSCS accounts, and the stock begins trading on the NGX.

Dangote has publicly targeted a September 2026 listing, which would require Stages 2 through 5 to move relatively quickly from where things stood at filing. That’s not impossible, but it’s also not guaranteed — the SEC has explicitly said no date has been formally approved. The most useful thing you can do right now is watch for Stage 2 (an approved prospectus), since that’s the point real, actionable numbers become available.
