An annual report provides information about a company’s financial performance, business operations, governance and risks.

For investors evaluating African-listed businesses, annual reports are among the most important sources of information.

They help investors understand how companies generate revenue, manage expenses, finance operations and distribute profits.

Learning how to read an annual report can improve investment decisions across markets such as Nigeria’s NGX, South Africa’s JSE and the BRVM.

1. Understand the Company’s Business

Start with the business overview and management commentary.

These sections explain the company’s products, customers, operations and competitive environment.

A bank generates income through lending and financial services.

A telecommunications business earns revenue from mobile connectivity, data usage and related services.

A cement manufacturer depends on production, construction demand, energy costs and distribution networks.

Understanding the business model helps investors evaluate future earnings potential.

2. Examine the Income Statement

The income statement shows revenue, expenses and profit over a reporting period.

Consider a simplified example:

Financial metricAmount
Revenue₦200 billion
Operating expenses₦150 billion
Operating profit₦50 billion
Net profit₦35 billion

The company’s operating profit margin is 25%, calculated by dividing operating profit by revenue.

Investors should compare these figures with previous years.

Rising revenue accompanied by falling margins may indicate increasing costs or weaker pricing power.

3. Review the Balance Sheet

The balance sheet shows a company’s assets, liabilities and shareholders’ equity.

Assets include cash, property, receivables and investments.

Liabilities include borrowings, payables and other obligations.

Shareholders’ equity represents the residual interest after liabilities are deducted from assets.

Investors should assess whether the company can meet its obligations and finance its operations.

For banks, capital adequacy and loan quality are particularly important.

4. Analyze Cash Flow

The cash flow statement shows how money moves through operating, investing and financing activities.

A company may report accounting profits while experiencing cash shortages.

For example, rising sales may not generate immediate cash if customers delay payments.

Consistent operating cash generation can help support dividends, debt repayment and business expansion.

5. Examine Earnings and Dividends

Earnings per share indicate profit attributable to each ordinary share.

Dividend payments show how much value the company distributes to shareholders.

However, a high dividend yield is not necessarily sustainable.

Investors should compare distributions with profits, cash flow and future funding requirements.

6. Read the Auditor’s Report

The auditor’s report provides an opinion on the company’s financial statements.

Qualified opinions, material uncertainties and significant accounting issues require attention.

The notes to the financial statements also contain information about debt, related-party transactions, accounting estimates and business risks.

Putting the Analysis Into Practice

Investors can apply these principles to companies such as Zenith Bank, Dangote Cement and Sonatel.

Daba Pro provides financial research that can complement analysis of company disclosures.

The bottom line: Annual reports help investors move beyond share prices to understand a company’s profitability, financial condition and long-term investment risks.
