Short answer: yes, a real IPO process is underway, though it is not yet complete, and no listing date has been formally approved. Here’s the up-to-date picture as of this writing.

In late July/early August 2026, Dangote Petroleum Refinery & Petrochemicals formally filed an initial public offering application with Nigeria’s Securities and Exchange Commission (SEC). This was confirmed publicly by SEC Director-General Emomotimi Agama, who said the company’s advisers were actively working with the regulator to process the application and that the SEC did not currently anticipate delays that would derail the plan. That filing followed months of public statements from founder Aliko Dangote about intending to list the refinery, and it followed a large private placement round.

Dangote has publicly targeted a September 2026 listing. However, it’s important to separate a company’s target date from a regulator-approved date: as of the filing news, no offer or listing date had been formally approved by the SEC, and no prospectus with official pricing had been published. Regulatory review timelines can move faster or slower than a company’s public target, and it’s normal for that gap to exist at this stage of an IPO.

It’s also worth noting that this filing followed a period of confusion: in June 2026, the SEC publicly ordered a halt to unauthorized promotional campaigns that were soliciting advance investor subscriptions before any application had actually been submitted, warning that the process had not formally begun. The formal filing weeks later marked a genuine shift from speculation to regulatory process.

So: is it happening? The company has taken the concrete, verifiable step of filing with the regulator, and both the company and the regulator have publicly expressed confidence about a 2026 listing. Whether it lists exactly in September, later in 2026, or is delayed further is something only the coming weeks and months — and the SEC’s actual approval — will confirm. Track the SEC’s own announcements and the company’s official statements rather than relying on secondhand IPO trackers for the final word.
