TLDR

  • Aradel Holdings Plc reported N3.95 trillion revenue and N764.71 billion pre-tax profit for the first nine months of 2026.
  • The company declared an interim dividend of N7.00 per share, totaling N30.4 billion, payable by December 7, 2026.
  • Growth was driven by crude oil and gas operations and the full consolidation of ND Western and Renaissance.

Aradel Holdings Plc reported a significant increase in revenue and pre-tax profit for the nine months ended September 30, 2026. The company's unaudited financial statements, released on October 30, 2026, showed strong performance driven by its crude oil and gas operations. Following these results, Aradel's board declared an interim dividend of N7.00 per share.

The substantial growth was primarily due to the full consolidation of ND Western and Renaissance operations, which were previously accounted for as associates. This integration boosted Aradel's crude oil and gas businesses, leading to expanded processing capacity and improved pipeline availability. Management also raised its full-year 2026 production guidance to an average of 140,000–150,000 barrels of oil equivalent per day, up from the previous 110,000–140,000 range.

Aradel's revenue surged by 633% to N3.95 trillion from N538.81 billion in the prior year. Consolidated pre-tax profit increased by 154.3% to N764.71 billion, while operating profit rose 832.4% to N1.56 trillion. EBITDA also climbed to N2.10 trillion from N261.5 billion. However, consolidated profit after tax declined by 82.3% to N43.30 billion, reflecting substantial finance costs and higher tax expenses.

The decline in profit after tax was largely attributed to significant finance costs associated with the Renaissance acquisition, which included an N529.10 billion earnout charge. Despite this, the company's strong cash generation led to a shift from a net debt position of N475.1 billion at December 2025 to a net cash position of N532.3 billion by September 2026. The interim dividend of N30.4 billion signals confidence in the company's underlying operational strength and commitment to shareholder returns.

Aradel is engaging the seller of Renaissance to address the contingent consideration arrangement, which impacts finance costs. The higher tax charge also reflected applicable petroleum tax rates under the old regime for the newly consolidated operations, differing from rates under the Petroleum Industry Act. Excluding the Renaissance earnout charge, profit after tax would have reached N572.4 billion, representing a 134% increase, highlighting the acquisition's specific financial impact.

Points clés à retenir

The significant financial performance reported by Aradel Holdings Plc for the nine months ended September 30, 2026, is largely a story of strategic consolidation and its multifaceted impact. The full integration of ND Western and Renaissance operations, previously accounted for as associates, served as the primary catalyst for the massive 633% surge in revenue to N3.95 trillion and an 832.4% increase in operating profit. This move substantially expanded Aradel's crude oil and gas businesses, enhancing production capacity and market reach, which also led to an upward revision of its full-year production guidance. However, this strategic expansion came with considerable financial implications. The Renaissance acquisition introduced substantial finance costs, including a N529.10 billion earnout charge, and subjected the newly consolidated entities to higher tax rates under the old petroleum tax regime, rather than the more favorable Petroleum Industry Act. These factors significantly impacted the reported profit after tax, which declined by 82.3% despite robust operational growth. Aradel's management is actively addressing the earnout charge with the seller, underscoring the complex financial restructuring involved in such large-scale acquisitions. Despite these integration costs, the company's strong operational cash generation enabled a notable shift from a net debt to a net cash position, reflecting underlying financial resilience and the long-term strategic benefits of these consolidations.
