Dangote Refinery IPO Opens to Kenyan Investors

Kenyan investors can now participate in the $1.6 billion initial public offering of Dangote Petroleum Refinery. Kenya’s Capital Markets Authority approved a short-form prospectus for a global depository receipt, enabling local access to the share sale. Renaissance Capital (Kenya) and its Nigerian affiliate will facilitate Kenyan participation in the offering, which opened on September 14 and is scheduled to close on October 13.
The approved global depository receipt (GDR) structure allows eligible Kenyan investors to gain exposure to the Nigerian refinery without directly purchasing its shares in Nigeria. Renaissance Capital Kenya will manage custodial arrangements for funds from Kenyan investors, collaborating with its Nigerian counterpart. Following the IPO's closure and share allocation, the Kenyan investment bank plans to structure the GDRs for listing on the Nairobi Securities Exchange, subject to approval from Nigeria's Securities and Exchange Commission.
The initial public offering aims to raise funds to double the refinery’s capacity from 700,000 to 1.4 million barrels per day. Described as potentially Africa’s largest public offering, it has already attracted strong interest, with over $7 million (approximately N10 billion) committed by thousands of investors within the first hour. The offer comprises 4.1 billion new ordinary shares, priced at N525 each, with a minimum investment of 10 shares for N5,250.
This expansion of the IPO to Kenyan investors broadens the offering’s reach and supports Dangote’s wider ambitions across East Africa. For Kenya, the arrangement provides local investors access to a significant African share offering, reinforcing the country's goal to become a regional hub for cross-border capital raising. Several other licensed Kenyan firms, including CPF Capital & Advisory, SBG Securities, and Stanbic Bank, are also facilitating investor access through partnerships with Nigerian counterparts.
Dangote Industries launched the IPO in September as part of its strategy to fund capacity expansion. Separately, the group is planning a $16 billion, 700,000-barrel-per-day refinery near Lamu, Kenya, intended to supply the regional energy market. Kenya and Rwanda have been offered a combined 30% stake in this planned East African refinery, with payment options available over four years, distinct from the current Nigerian refinery IPO.
