A Kenyan High Court has ordered e-commerce company Copia Kenya into liquidation following a September 17 ruling. The decision comes after more than two years of administration failed to revive the business, which aimed to serve consumers outside the country's major cities. Justice Rhoda Rutto, in her ruling, found no realistic path for Copia to return to operating as a going concern.

Copia Kenya, launched in 2013, was designed to address market gaps by combining technology with a network of local agents. This model enabled it to provide a broad product offering and ensure efficient, reliable delivery to "base of the pyramid" consumers in rural areas. The service specifically aimed to help rural households access goods that would otherwise be difficult to obtain without traveling to a major city.

The company had attracted significant investment, raising over US$120 million in capital, with its most recent round being a US$50 million Series C. Despite these substantial financial injections and efforts to expand into new markets, Copia entered administration in May 2024 after failing to secure the necessary capital to continue its operations. As of February, its remaining assets were estimated at KES206.6 million, equivalent to US$1.6 million.

The court's decision to move to liquidation underscores the severe operational and financial challenges faced by the company, indicating that extending the administration period would only incur further delay and costs. This outcome represents a substantial loss for the investors who had backed Copia with over US$120 million in capital. It also highlights the inherent difficulties in achieving sustainable profitability and scale within the e-commerce sector targeting rural African markets.

Copia will now proceed with liquidation, a process that will involve selling off its remaining assets. The company's existing administrators, Julius Mumo Ngonga and Anthony Makenzi Muthusi of KPMG, have been appointed as joint liquidators to oversee this process. Justice Rutto's ruling explicitly stated her satisfaction that "the objectives of administration have been exhausted," paving the way for the company's final dissolution.
