10 Key Things Every Investor Should Know From Dangote IPO Prospectus

The Dangote Refinery IPO prospectus runs to nearly 200 pages. Most investors won’t read all of it — so here are 10 facts pulled directly from the SEC-registered document that matter most before you subscribe.
1. It’s an Offer for Subscription, Not a Straight Sale of Existing Shares
The Dangote Refinery IPO is structured as an Offer for Subscription of up to 4,100,000,000 new ordinary shares at ₦525 each, on the NGX Main Board. It’s a fixed-price offer, payable in full on application, not a book-build or an auction.
2. A Single Anchor Investor Has Already Committed $400 Million
Pan-African Refinery Investment SPV, a Mauritius-incorporated vehicle, has committed to subscribe for up to the naira equivalent of US$400 million — roughly 1,038,961,038 shares, or about 25.34% of the entire offer. That commitment is still subject to the same allotment rules as every other applicant, verified by the registrars and approved by the SEC.
3. Existing Shareholders Are Concentrated, Not Widely Spread
Before the IPO, 65.8% of DPRP’s shares are held by Dangote Oil Refining Company Limited, with a further 14.9% held by Dangote Industries Limited. The Nigerian National Petroleum Company Limited holds 6.8%, and Greenview International Corporation holds 6.5%. The IPO is explicitly intended to broaden this base.
4. The Offer Is Not Underwritten
At DPRP’s instance, the offer carries no underwriting arrangement — meaning there’s no third party contractually obligated to buy unsold shares if the offer falls short of full subscription.
5. The Company Is Carrying Significant Debt
As at 30 June 2026, DPRP’s total indebtedness stood at approximately $5.67 billion, all secured borrowings incurred in the ordinary course of business. As at end-2025, debt included $3.99 billion in unsecured borrowings from Dangote Industries Limited, its controlling shareholder — a related-party exposure worth noting.
6. Oversubscription Can Be Absorbed — Up To a Point
If demand exceeds the 4.1 billion shares on offer, DPRP may absorb up to 30% more, subject to SEC approval. Beyond that, applications get scaled back according to the Basis of Allotment.
7. The Financial Turnaround Is Recent and Steep
DPRP swung from a loss in FY2025 to $1.82 billion in profit after tax in just the first half of 2026, on $13.9 billion of H1 2026 revenue — already exceeding all of 2025’s $12.3 billion.
8. Settlement Runs on a Fixed Clock After Allotment
Successful applicants’ CSCS accounts are credited within 15 business days of the Allotment Date, and trading is expected to begin around the same point — provided applicants supply valid CHN and CSCS account details; without them, shares are warehoused with the registrar until details are provided.
9. Dividends, If Declared, May Come in Multiple Currencies
Because DPRP reports in USD, it intends to declare dividends in USD, but payments may be made in USD, naira, or another currency depending on the circumstances at the time — relevant for anyone modelling future income in their home currency.
10. Retail Investors Who Hold Long Enough Can Earn Free Bonus Shares
Subject to regulatory approval, retail investors who subscribe for at least the minimum and hold continuously for 12 months get one free Incentive Share; holding a further 12 months earns a second — a maximum of two bonus shares per eligible investor.
