Dangote Refinery IPO Risk Factors: What Every Investor Should Read First

No IPO is risk-free, and the Dangote Refinery IPO prospectus dedicates more than 20 pages to risk factors that prospective investors are urged to read in full before subscribing. Here’s a plain-English summary of the major themes, drawn directly from the SEC-registered document.

Free Zone Regulatory Risk

DPRP operates within the Dangote Industries Free Zone (DIFZ) under the Oil and Gas Export Free Zone Authority, not under general Nigerian company law. The prospectus notes that free zone regulation “may differ in certain respects” from the framework applicable to companies incorporated under Nigeria’s Companies and Allied Matters Act, and that the interaction between free zone rules, general Nigerian law, and capital market regulations “may continue to evolve” — a factor that could affect the company’s operations or regulatory obligations over time.

Limited Operating History at Full Capacity

Although DPRP began trading in 2022 and the refinery was commissioned in May 2023, it only completed performance testing at its original 650,000 bpd nameplate capacity in February 2026, reaching a rerated 700,000 bpd in June 2026. Large, complex refining facilities typically need continued operational optimisation after commissioning, and the prospectus is candid that there’s no assurance current performance will be sustained during normal long-term operations.

Litigation Exposure

As of August 26, 2026, the litigation schedules disclosed 14 pending cases against or involving DPRP, of which 9 met the ₦100 million materiality threshold — relating to unpaid debts, contractual disputes, and regulatory matters, with an aggregate claimed amount of roughly ₦4.08 billion and $216 million. The company’s solicitors consider an adverse outcome unlikely to materially affect the offer, but the exposure is disclosed for investors to weigh.

Currency and Market Risk for Foreign Investors

Because the offer is priced and settled in naira, non-Nigerian investors take on currency risk twice — once converting into naira to subscribe, and again if converting proceeds back later. Ordinary equity market risk and allocation risk (receiving fewer shares than applied for, in the event of oversubscription) apply as well.

Expansion and Execution Risk

The $14.3 billion expansion targeting 1.4 million bpd by 2029 remains subject to regulatory approvals, financing availability, and timely construction — none of which is guaranteed, and delays or cost overruns could affect the timeline investors are pricing in today.
