Dangote Refinery IPO Explained in 5 Minutes

Short on time? Here’s the Dangote Refinery IPO in five minutes.
What it is: A plan to sell shares of Dangote Petroleum Refinery & Petrochemicals to the public on the Nigerian Exchange (NGX). The refinery processes crude oil into fuel products at a facility in the Lekki Free Zone, Lagos, and has been described by the company and independent industry press as the world’s largest single-train refinery, with a designed capacity of 650,000 barrels per day.
Where things stand: The refinery has been operating since 2023–2024 and the company said in February 2026 it had reached full nameplate capacity. On the IPO side, Dangote formally filed an application with Nigeria’s Securities and Exchange Commission (SEC) in late July/early August 2026. Founder Aliko Dangote has said he’s targeting a September 2026 listing, but the SEC has stated that no date has been formally approved.
Why it matters: If it proceeds as planned, this would likely rank among the largest listings in African stock market history, potentially reshaping the size and depth of the NGX. State-owned NNPC already holds a 20% equity stake in the refinery, separate from any public shares being offered.
What’s still missing: An approved prospectus, an official price range, the exact percentage of shares on offer, and a confirmed listing date. Valuation estimates circulating in the media — commonly cited in the $39 billion to $50 billion range — are analyst estimates, not company-confirmed figures.
One thing to watch out for: Nigeria’s SEC publicly warned in June 2026 that some operators were running unauthorized promotions asking for advance subscriptions before any formal application existed. Legitimate subscriptions will only happen through licensed stockbrokers once the SEC approves an official offer.
Bottom line: This is a real, developing IPO process — not a rumor, but not a done deal either. The refinery is operational and the paperwork has started, but the terms that determine whether it’s a good investment for you (price, valuation, dividend policy) haven’t been published yet.
