What will Dangote's IPO prospectus reveal once approved? A guide to what's in it — and what we still...

Once Nigeria’s SEC approves an IPO, the company is required to publish a prospectus — a detailed disclosure document that becomes the single most important source for evaluating the offer. Here’s what to expect it to contain, based on standard NGX IPO requirements, and what we don’t yet know because Dangote’s prospectus hasn’t been published as of this writing.

A typical NGX IPO prospectus includes: audited financial statements covering recent years, a description of the business and its operations, the specific number of shares being offered and the percentage of the company they represent, the proposed price or price range, the intended use of proceeds (for example, debt repayment, expansion, or working capital), a detailed risk factors section, information about existing major shareholders, corporate governance and management details, and the timetable for subscription, allotment, and listing.

For Dangote’s refinery specifically, a prospectus would be the first time the public sees verified, audited financial data — actual revenue, costs, and profitability figures — rather than the estimates and reported figures that have circulated in the media so far. It should also clarify exactly what stake NNPC’s existing 20% holding represents relative to the new shares on offer, and whether existing private-placement investors receive any different treatment than new public subscribers.

It’s worth being clear that as of this writing, Dangote has filed an application with the SEC, but the SEC has not yet approved an offer or published a prospectus. Reported valuation figures (commonly $39–50 billion) and reported private placement pricing are not the same as an official, disclosed prospectus price — treat them as pre-filing estimates until the actual document is public.

When the prospectus does appear, the most useful sections for a retail investor to focus on are the risk factors (which will spell out the company’s own view of what could go wrong, from oil price exposure to regulatory risk) and the financial statements (which show actual, audited performance rather than projections).
