Kenyan investors could gain access to Dangote Petroleum Refinery shares through Global Depositary Receipts traded on the Nairobi Securities Exchange, creating a local route into Africa’s largest IPO. Renaissance Capital is developing the structure, subject to approval from Kenya’s Capital Markets Authority and the NSE, with a potential launch in early December.

Under the plan, the refinery’s ordinary shares would remain listed and held in Nigeria while corresponding GDRs trade in Nairobi. Kenyan investors would buy and sell the receipts in shillings through local brokers. Renaissance Capital would aggregate applications through its Kenyan operation, submit them in Nigeria and arrange custody of the underlying shares. Dividends, rights and other shareholder benefits would pass through to GDR holders.

Dangote Petroleum Refinery is offering 4.1 billion shares at ₦525 each in an IPO seeking about ₦2.15 trillion, or roughly $1.5 billion. The offer opened September 14 and closes October 13. The proposed Kenyan structure would not make the Nigerian refinery a direct NSE-listed company; investors would instead trade securities representing its Nigerian shares.

Aliko Dangote also committed to listing the group’s separate East African refinery on the NSE. The 700,000-barrel-a-day project in Lamu broke ground on September 30 and is being developed separately from the Nigerian refinery company currently conducting the IPO.

The plans extend Dangote’s effort to use African capital markets for its expansion. The group is also considering listings for other businesses as it builds refining, fertiliser and industrial projects across the continent.
