Dangote Refinery IPO Valuation and Deal Size

The Dangote Refinery IPO valuation has climbed sharply through 2026. In late 2025, informal estimates placed the refinery’s value at $20–25 billion. By mid-2026, that figure had roughly doubled.

The $2.5 Billion Private Placement

In July 2026, Dangote closed an oversubscribed private placement worth $2.5 billion, implying a valuation of roughly $40 billion. Demand reportedly approached $2 billion before the offer even formally opened, according to comments from Aliko Dangote himself.

The $1 Billion Underwriting Deal

In August 2026, a $1 billion underwriting arrangement was announced in two parts: a $600 million private placement tranche that has already been completed and funded, and a $400 million conditional underwriting commitment that activates once the public offer formally launches, subject to regulatory approval and market conditions.

How the Dangote Refinery USD Dividend Works

One of the most talked-about features of this deal is its US dollar dividend structure — a first for the Nigerian Exchange.

Here’s how it’s designed to work: investors buy shares in Nigerian naira, exactly like any other NGX-listed stock. But dividend payments are proposed to be made in US dollars, funded by the refinery’s roughly $6.4 billion in annual hard-currency export revenue from petrochemicals and fertiliser.

Important nuance: only the dividend income is dollarized — not the share capital itself. Shares are bought and sold in naira on the NGX, so any capital gains or losses remain naira-denominated. The USD dividend functions as a partial hedge against naira depreciation on the income side of the investment, not a full currency hedge on the whole position.

Regulatory status: the USD dividend plan has been publicly confirmed by Dangote but still requires formal approval from Nigeria’s SEC and the Federal Ministry of Finance. Until that approval is finalized, treat it as proposed rather than guaranteed.


Where Will Dangote Refinery Shares Be Listed?

The primary listing will be on the Nigerian Exchange (NGX). Management has confirmed there will be no foreign listing for at least three years — CEO David Bird has stated the refinery needs a longer audited public track record before pursuing an international listing such as London.
