Dangote IPO Bonus Shares: How the Retail Investor Incentive Programme Works

Beyond the headline offer terms, the Dangote Refinery IPO prospectus includes a Retail Investor Incentive Programme designed to reward investors who hold on for the long term. Here’s how it works, straight from the offer documentation.

What Is the Retail Investor Incentive Programme?

Subject to shareholder and regulatory approval, retail investors who subscribe for and are allotted at least the minimum subscription of Dangote Refinery IPO shares — and who maintain that holding continuously for 12 months from the allotment date — become eligible for one bonus share at no additional cost. Hold on for a further 12 months, and you qualify for a second bonus share, also free. That’s a maximum of two Incentive Shares per eligible retail investor across both qualification periods, regardless of how many shares you originally hold above the minimum.

Who Qualifies for the Bonus Shares?

Eligibility is limited to retail investors who subscribed for and were allotted shares under the IPO itself — buying shares later on the open market doesn’t count toward eligibility, even if you hold the minimum amount. The “Continuous Shareholding” requirement means you must not sell, transfer, pledge, or otherwise dispose of shares that would take your holding below the minimum subscription at any point during the qualification period, or you lose eligibility for that period. Compliance is verified by the share registrar together with the Central Securities Clearing System (CSCS).

Important Caveats to Understand

This programme is not yet guaranteed. As of the date of the prospectus, the necessary shareholder and regulatory approvals — from the SEC, the free zone regulator OGFZA, and the NGX — had not been obtained. If those approvals aren’t secured, or come with conditions DPRP considers unacceptable, the company may amend, suspend, or withdraw the programme, and no investor has a legal claim to shares that would otherwise have been issued. The new Incentive Shares will also dilute existing shareholders proportionally, and receiving them may carry tax consequences depending on your jurisdiction — worth a conversation with your own tax adviser.

Why This Matters for Long-Term Investors

For investors planning to hold rather than trade, the incentive programme is effectively a reward for patience: two free shares on top of your original 10-share minimum subscription, provided the approvals come through and you stay invested for up to 24 months.

How to Subscribe and Qualify via Daba

To be eligible for the Retail Investor Incentive Programme at all, you need to have subscribed for and been allotted shares in the original offer — which means acting before the October 13, 2026 window closes. For investors outside Nigeria, Daba makes that possible without a Nigerian bank account, BVN, or personal CSCS account, through its partnership with Coronation Group, one of the offer’s issuing houses.
