Dangote IPO Timeline: The Refinery Years (2013–2026)

Before there was an IPO to track, there was a decade-long construction story. Dangote Petroleum Refinery & Petrochemicals FZE (DPRP) was first announced in 2013, commissioned on May 22, 2023, began processing crude in January 2024, and started producing petrol in September 2024.

In 2021, Nigeria’s Federal Executive Council approved a deal for state-owned NNPC to acquire a stake in the refinery in exchange for steady crude supply — originally structured toward 20%, paid for with an initial $1 billion.

According to industry reporting, NNPC never completed payment for the full 20%, and its stake instead settled at 7.25%, with Dangote Industries Limited holding the remaining approximately 92.75%. In February 2026, the company said it had reached its full designed capacity of 650,000 barrels per day.

The 2026 IPO Timeline: Private Placements and the SEC Filing

The public capital-raising story accelerated through 2026. In May 2026, Aliko Dangote said the company had already attracted roughly $2 billion in private investor offers, though he indicated these investors wouldn’t be allowed to take up the entire IPO stake.

In July 2026, Dangote Petroleum Refinery completed a $2.5 billion private placement led by the Africa Finance Corporation (AFC), reportedly 3.7 times oversubscribed, selling around 6% of the company at a valuation of roughly $40 billion.

In August 2026 (announced August 17–19), the company disclosed a separate $1 billion underwriting programme structured by Marob Strategies and Consulting DIFC Ltd and Lilium Capital Group, comprising a completed and funded $600 million private placement (underwritten by Pan-African Refinery Investment SPV, a Lilium Capital subsidiary) plus a $400 million conditional underwriting commitment tied to the eventual public offer.

Public reporting hasn’t fully clarified how this $1 billion programme relates to the earlier $2.5 billion AFC-led round — whether overlapping, sequential, or additive — so we’re presenting both as separately confirmed developments rather than assuming how they combine.

Around the same period, Dangote formally submitted the refinery’s IPO application to Nigeria’s Securities and Exchange Commission (SEC), targeting a raise of up to $5 billion — which would make it Africa’s largest-ever IPO.

What’s Next on the Dangote IPO Timeline

As of this writing, Reuters has reported that SEC approval is expected “in the coming weeks,” with a formal prospectus expected to be published in September 2026, ahead of a targeted October 2026 listing on the NGX.

None of these dates are formally locked in — they represent the current target based on company and source-based reporting, not a confirmed regulatory calendar. It’s worth remembering that the company’s own timeline has already shifted once, from an earlier-cited September 2026 target to the current October 2026 target, which is a normal part of how large IPOs evolve as regulatory review proceeds.

Reading across these developments together, the pattern is one of accelerating, well-documented momentum rather than a single dramatic announcement — a private placement in July, an underwriting programme in August, and a formal SEC application, all within a few months of each other, ahead of a targeted October listing.
