How IPO Subscriptions Actually Work on the NGX

How do NGX IPO subscriptions actually work, step by step? A practical walkthrough, using Dangote’s current pre-subscription status. 

Before Subscription: Account Setup

Participating in any NGX IPO subscription — including a future Dangote offer — starts before the subscription window even opens. You need an NGX-licensed stockbroker, a CSCS (Central Securities Clearing System) account where your shares will be held electronically once allotted, and completed KYC documentation, which for Nigerian residents typically includes a valid ID, BVN, and proof of address. This groundwork is worth completing now, since Dangote’s subscription window — expected sometime before an October 2026 listing target, following a prospectus anticipated in September — hasn’t opened yet.

During Subscription: Applying and Paying

Once a subscription window opens, you apply through your broker for a chosen number of shares, subject to a minimum lot size confirmed in the offer’s prospectus, and pay the corresponding amount within the offer period, typically via bank transfer to a receiving bank named in the prospectus. Large, high-demand offers — and CEO David Bird’s stated ambition for Dangote’s offer to be “the people’s IPO” suggests this one is being designed for high retail participation — often see applications split across retail and institutional tranches, sometimes with different minimum amounts and different oversubscription outcomes for each.

After Subscription: Allotment and Listing

When the subscription period closes, the company and its advisers finalize allotment — if the offer is oversubscribed, as Dangote’s July 2026 private placement was (reportedly 3.7 times), allotment is often scaled back proportionally so more applicants receive some shares rather than a lucky few receiving everything. Shares are then credited to your CSCS account, and trading begins on the NGX main board on the confirmed listing date.

What’s Different (and Not Yet Confirmed) About Dangote’s Process

For Dangote specifically, exact details — minimum lot size, retail tranche allocation percentage, accepted payment channels for diaspora investors, and how the proposed dollar dividend interacts with the naira-denominated subscription process — will only be confirmed in the official prospectus. Until that document exists, the general NGX process described above is your best guide to what to expect, not a substitute for reading Dangote’s actual terms once published.

It is also worth understanding that a high-demand, retail-heavy subscription process can create its own operational strain distinct from any risk in the underlying business — banking and brokerage systems processing a large volume of first-time applicants in a short window have, in other markets’ large retail IPOs, occasionally experienced processing delays or technical bottlenecks. This is a reason to complete account setup and KYC well ahead of any confirmed subscription date, rather than a reflection of any known issue specific to Dangote’s planned offer.

It’s also worth remembering that oversubscription, while often framed positively in media coverage, isn’t purely good news for every applicant — heavy oversubscription generally means a lower percentage of your specific application gets allotted, so budgeting only for the scenario where you receive 100% of what you applied for would be unrealistic for a deal already showing this level of institutional demand.
