Can US-based investors access the Dangote IPO? What to prepare now, and what to confirm with a broker or adviser first.
US-based investors — including the large Nigerian and broader African diaspora community in the US — have asked whether they’ll be able to participate in a future Dangote Refinery IPO. As of this writing, the offer hasn’t been priced or opened, so here’s how to think about access and preparation rather than a live application process.
NGX offers are generally accessed by foreign investors through an NGX-licensed stockbroker that accepts non-resident clients, or through an international brokerage platform with NGX market access. As a US-based applicant, expect standard foreign-investor KYC requirements — valid identification such as a passport, proof of US address, and likely additional documentation related to US tax status (brokers commonly request a completed W-9 or W-8 form, depending on your citizenship and residency status, as part of standard financial compliance rather than anything specific to this IPO).
It’s worth being aware that whether and how a foreign private offering like this can be marketed to, or purchased by, US persons can involve US securities law considerations, separate from Nigerian rules — this is genuinely worth a conversation with a financial adviser or the broker itself rather than assuming based on general information, since we’re not able to give individualized US securities law guidance here.
Funding a subscription from the US would generally involve an international wire transfer to move funds into the Nigerian financial system, since the offer would be denominated in naira. Returns and any dividends would similarly be naira-denominated, meaning US investors would carry naira/dollar currency exposure on top of the investment itself.
Right now, the most useful step is identifying whether your existing broker (if you have one) offers NGX access, or researching brokers/platforms that explicitly serve US-based clients investing in Nigerian equities, and clarifying tax and compliance requirements in advance — so you’re ready to act once Dangote’s official prospectus and subscription details are published.
