What Is a Retail Tranche?

Many large IPOs, including ones on the NGX, split the shares on offer into separate portions, or tranches, for different categories of investors. The retail tranche is the portion set aside specifically for individual, everyday investors — as opposed to large institutions — typically subject to a lower minimum investment (lot size) to make participation accessible to ordinary savers.

What Is an Institutional Tranche?

The institutional tranche is the portion of an offer reserved for large investors — pension funds, asset managers, insurance companies, and similar entities — who typically apply for much larger share quantities and are often involved earlier in the process, including participating in book building to help set the offer price.

Why the Split Matters for Ordinary Investors

The tranche split matters because it affects how much of an offer is realistically available to individual investors like you, and how oversubscription is handled within each category. It’s common for retail and institutional tranches to have different oversubscription rates and different allotment outcomes — a retail tranche might be scaled back differently than an institutional one if demand differs between the two groups. Safaricom’s 2008 IPO, for example, saw different subscription rates across its retail, institutional, and other investor categories, with allotment percentages varying accordingly.

For a future Dangote IPO, no official split between retail and institutional tranches has been announced, since no prospectus has been published as of this writing. If the offer follows standard NGX practice for large IPOs, a retail tranche is a reasonable expectation, but the exact percentage allocated to retail investors, and the minimum lot size within it, will only be confirmed once the company’s prospectus is released. Understanding this distinction now means you’ll know what to look for in that document instead of assuming your access as a retail investor is guaranteed at any particular size.
