An IPO — initial public offering — is the process by which a privately owned company sells shares to the public for the first time and starts trading on a stock exchange. Before an IPO, a company is owned by a limited set of people: founders, employees, and private investors. After an IPO, anyone with a brokerage account can buy a piece of it.

The Dangote Refinery: A Live IPO in Progress

Dangote Petroleum Refinery & Petrochemicals FZE is a useful real-world example precisely because it’s mid-process right now. Today, the company is privately owned — roughly 92.75% by Dangote Industries Limited and 7.25% by Nigeria’s state-owned NNPC. It has filed an application with Nigeria’s SEC to sell shares to the public on the NGX, targeting a raise of up to $5 billion by offering a reported 5–10% of the company. As of this writing, that application is under regulatory review; no shares are yet available to buy.

How This IPO Will Actually Unfold, Step by Step

Following the typical IPO sequence: the company files with the regulator (done, mid-2026), the regulator reviews the application and, if satisfied, approves a formal prospectus (expected around September 2026), the company markets the offer and may finalize pricing (potentially through book building), a subscription window opens for investors to apply and pay, shares are allotted, and finally the stock begins trading — targeted for around October 2026. Private placements the company has already completed (a $2.5 billion round in July 2026, and a further $1 billion underwriting programme in August 2026) are separate from this public process — they involved a limited set of institutional investors, not the general public, though they’ve helped establish early valuation reference points in the $39–50 billion range.

Why Understanding This Matters Beyond Dangote

Once you understand this sequence using Dangote as a concrete example, you’ll be able to follow any future IPO — African or otherwise — and know exactly what stage it’s at, what’s confirmed versus speculative, and what to watch for next.

One more distinction worth keeping straight: the private placements Dangote has already completed are not the same thing as the IPO in the strict sense used throughout this piece. A private placement involves a small, invited group of investors negotiating directly with the company; an IPO, by definition, is open to the general public through a regulated, advertised subscription process. Dangote has done the former twice in 2026 and is still working toward the latter.

For readers newer to investing generally, it’s worth remembering that not every company chooses to go public, and not every IPO succeeds in raising the amount originally targeted — going public is one financing option among several (bank loans, private equity, or staying privately held indefinitely), each with different trade-offs for a company’s owners.
