An IPO prospectus is the official, regulator-approved disclosure document a company must publish before selling shares to the public. It’s a legal requirement, not a marketing brochure — regulators like Nigeria’s SEC require it precisely so investors have a reliable, standardized source of information before committing money.
What’s Typically Inside an IPO Prospectus
A standard NGX prospectus generally includes: audited financial statements covering recent years, a full description of the business and its operations, the exact number of shares on offer and what percentage of the company they represent, the offer price or price range, the intended use of the proceeds raised, a detailed risk factors section written by the company itself, information on major existing shareholders, corporate governance and management details, and the timetable for subscription, allotment, and listing.
Why the Dangote Prospectus Specifically Matters
For Dangote Petroleum Refinery, a published prospectus would be the first time the public sees actual, audited revenue and profit figures, rather than the estimates and reported figures ($39–50 billion valuation range, for instance) that have circulated in the media so far. It would also be the document that finally confirms the real offer price, the exact percentage of the company being sold, and the company’s own official dividend policy — none of which are public as of this writing, since Dangote has filed an application with the SEC but no prospectus has yet been approved or released.
Practically speaking, once Dangote’s prospectus is published, the risk factors section and the audited financial statements are the two parts worth reading most carefully — the former tells you what the company itself thinks could go wrong, and the latter replaces every valuation estimate you’ve read until now with real, verified numbers.
